1. Introduction and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between The Update LLP ("Uplabs", "we", "us", or "our"), the operator of the software-as-a-service platform available at uplabs.in and its subdomains, and the entity or individual registering for or using the platform ("Studio", "you", or "your").

By creating an account, accessing the platform, or clicking 'I Agree' during onboarding, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, you must not use the platform.

Uplabs is designed primarily for architecture and interior design studios operating in India, though use is not restricted to those industries. The platform is available to any lawfully operating business or individual professional.

2. Beta Programme

Beta Notice: Uplabs is currently in a closed beta phase. The beta period runs formally until 31 December 2026, after which full commercial terms apply. During the beta period, features may be incomplete, changed, or removed without prior notice. Beta users are subject to these full Terms and receive the same data protections as paid users.

Notwithstanding the beta status, all data protections, privacy obligations, and financial safeguards described in these Terms and the accompanying Privacy Policy apply in full during the beta period.

3. Eligibility

To use Uplabs you must:

  • Be at least 18 years of age.
  • Have the legal authority to enter into binding contracts on behalf of yourself or your studio.
  • Be located in and operate your business primarily within India.
  • Not be prohibited from using the platform under applicable Indian law.

By registering, you represent and warrant that all of the above conditions are satisfied. Uplabs reserves the right to request verification of eligibility at any time.

4. Accounts and Workspaces

Each registered account on Uplabs is associated with one or more workspaces. A workspace represents a single studio's operational environment. The workspace owner holds full administrative rights and is solely responsible for all activity within that workspace.

Key workspace rules:

  • One account may belong to multiple workspaces (e.g. a consultant working across studios).
  • Workspace data — including client records, invoices, projects, salaries, and financial history — is visible in full only to the workspace owner.
  • Invited members have role-gated access as configured by the workspace owner.
  • Workspaces may not be shared, resold, sublicensed, or transferred to third parties without written consent from Uplabs.
  • Each workspace subscription is strictly for the subscribing studio's own use.

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. You must notify us immediately at legal@uplabs.in if you suspect unauthorised access.

5. Plans, Pricing and Billing

Uplabs offers a free tier with limited features and paid subscription plans on monthly and annual billing cycles. Plan details, features, and pricing are published at uplabs.in/pricing and may be updated in accordance with Section 14.

Free tier: Access to core features as defined on the pricing page. No payment required. Uplabs reserves the right to modify free tier limits at any time with 7 days notice.

Paid plans: Billed in Indian Rupees (INR). All prices are exclusive of applicable taxes. GST at the prevailing rate (currently 18%) will be applied to all subscription fees and will be itemised on your invoice.

GST invoices: A GST-compliant tax invoice will be issued automatically upon each successful payment. You are responsible for providing accurate GST registration details if you wish to claim input tax credit.

Auto-renewal: Paid subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date. You authorise Uplabs to charge your payment method on file for the renewal amount.

Plan downgrade: If you downgrade to a lower plan, you will continue on your current plan until the end of the billing cycle. The lower plan takes effect from the next billing date.

Payment processing: Payments are processed by Razorpay. By providing payment details you agree to that provider's terms. Uplabs does not store your full card or banking credentials.

6. Refund and Cancellation

Please refer to the Refund & Cancellation Policy for full details. In summary:

  • Refunds are available within 7 days of your first-ever paid subscription purchase only.
  • No refunds are available for renewals, upgrades, or after the 7-day window.
  • Cancellation takes effect at the end of the current billing period. Access continues until then.
  • Your data is retained on our servers after cancellation — see Section 8 for details.

7. Acceptable Use

You agree not to use Uplabs to:

  • Violate any applicable Indian law or regulation, including the IT Act 2000, DPDPA 2023, FEMA, GST Act, or any other statute.
  • Upload or transmit malicious code, viruses, or any software intended to damage or interfere with the platform.
  • Attempt to gain unauthorised access to other workspaces, user accounts, or Uplabs infrastructure.
  • Use automated scripts, bots, or scrapers to extract data from the platform.
  • Reverse engineer, decompile, or attempt to derive source code from the platform.
  • Use the platform to process or store data on behalf of third parties as a data processor yourself, without a separate written agreement with Uplabs.
  • Engage in any activity that places an unreasonable load on platform infrastructure.

Uplabs may investigate suspected violations and take action including suspension or termination of access. Such decisions are made on a case-by-case basis at Uplabs' sole discretion.

8. Data Ownership and Retention

Your data: You retain full ownership of all data you input into Uplabs, including client records, project details, financial data, and documents ("Studio Data"). Uplabs claims no ownership over Studio Data.

Our licence to your data: You grant Uplabs a limited, non-exclusive licence to store, process, and display your Studio Data solely for the purpose of providing the platform services. This licence terminates when you delete your account.

AI improvement: Where you have provided explicit opt-in consent at the time of account creation, Uplabs may use anonymised and aggregated Studio Data to improve AI-powered features within the platform. This consent is separate from and in addition to acceptance of these Terms. You may withdraw this consent at any time via account settings.

Retention: Studio Data is retained on Uplabs servers indefinitely unless you request deletion. You may export all your data at any time in CSV and PDF formats via the platform. To request permanent deletion, contact legal@uplabs.in. Deletion requests will be processed within 30 days.

Staff access: Uplabs personnel may access your workspace data on a read-only basis strictly for debugging and support purposes. All such access is logged in an immutable audit trail and is not used for any commercial purpose.

9. Intellectual Property

The Uplabs platform, including its software, design, architecture, branding, trademarks, and all intellectual property embodied therein, is owned exclusively by The Update LLP. Nothing in these Terms transfers any IP rights to you.

You may not copy, reproduce, distribute, modify, or create derivative works from any part of the platform without prior written consent from Uplabs.

Uplabs respects third-party intellectual property. If you believe any content on the platform infringes your rights, contact legal@uplabs.in.

10. Public Sharing Features

Uplabs enables studios to generate publicly accessible links for proposals, portfolios, and client-facing documents. When you use these features:

  • You are solely responsible for the content you make publicly accessible.
  • You must ensure you have the right to share any third-party content (client logos, project images, etc.).
  • Uplabs is not responsible for how recipients use or share publicly accessible links.
  • You may revoke public links at any time from within your workspace settings.

11. Platform Availability

Uplabs provides the platform on a best-effort basis. We do not commit to any specific uptime service level agreement (SLA). Planned maintenance and unplanned outages will be communicated via our public status page at status.uplabs.in.

Uplabs reserves the right to modify, suspend, or discontinue any feature or aspect of the platform at any time with reasonable notice. For material feature changes affecting paid plans, 7 days advance notice will be provided via email.

12. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Uplabs' total aggregate liability to you for any claim arising out of or in connection with these Terms or the platform shall not exceed the total subscription fees paid by you to Uplabs in the three months immediately preceding the event giving rise to the claim.

Uplabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify and hold harmless Uplabs, its partners, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the platform in violation of these Terms; (b) your violation of any third-party rights; or (c) your breach of any applicable law.

14. Modifications to Terms and Pricing

Uplabs reserves the right to modify these Terms or pricing at any time. You will be notified of material changes via email to your registered address at least 7 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must cancel your subscription before the effective date. Refunds for disagreement with updated Terms are at Uplabs' sole discretion.

15. Termination

By you: You may cancel your subscription at any time via account settings. Cancellation takes effect at the end of the current billing period.

By Uplabs: Uplabs may suspend or terminate your account at its discretion in cases of material breach of these Terms, non-payment, fraud, or activity that poses a risk to the platform or other users. Decisions are made on a case-by-case basis. Where practicable, Uplabs will provide notice before termination.

Upon termination, your access to the platform will cease. Your data remains available for export for 30 days post-termination, after which it may be deleted.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall first be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mysuru, Karnataka, India. The language of arbitration shall be English.

If arbitration does not resolve the dispute within 60 days of referral, either party may pursue the matter before the competent courts of Mysuru, Karnataka, India, which shall have exclusive jurisdiction.

17. Grievance Redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Uplabs has appointed a Grievance Officer. Any complaints or concerns regarding the platform or these Terms may be directed to:

  • Response time: Complaints will be acknowledged within 24 hours and resolved within 15 days.

18. Miscellaneous

Entire agreement: These Terms, together with the Privacy Policy, DPA, and Refund Policy, constitute the entire agreement between you and Uplabs.

Severability: If any provision is found unenforceable, the remaining provisions remain in full force.

Waiver: Failure by Uplabs to enforce any right does not constitute a waiver of that right.

Assignment: You may not assign your rights under these Terms without Uplabs' written consent. Uplabs may assign its rights in connection with a merger, acquisition, or sale of assets.

Language: These Terms are in English. In case of any conflict with a translation, the English version prevails.
